Pyramid Saimira Theatre Ltd has informed that Pyramid Saimira signs Memorandum of Cultural Cooperation with CSMRB, Ministry of Culture, Government of People's Republic of China and also a Joint Venture Agreement with Longzhe Group - forms a new JV "Jiangsu Pyramid Longzhe Group"

"Pyramid Saimira Theatre Ltd (PSTL) has now entered the Chinese market. The China Society of Music Research Board (CSMRB), Ministry of Culture, Government of People's Republic of China and India's Pyramid Saimira Theatre Ltd (PSTL) have signed an Arts & Cultural cooperation agreement by which CSMRB and PSTL will take many measures to promote cultural cooperation between India & China. PSTL will bring cultural specialist in the field of Arts, Film, TV, Music & Dance. CSMRB will also offer policy guidelines and business consultations for PSTL's foray in China's cultural industry.

Further to the agreement above, A new joint venture Company Jiangsu Pyramid Longzhe Group supported and approved by China Society Music Research Board (CSMRB), which is under the Ministry of Culture of the People's Republic of China, has been formed to operate theatres / distribute films and engage in other entertainment / arts & cultural activities in China.

The MOU between PSTL and CSMRB was signed at Beijing, in the presence of top delegate from the Chinese government. As part of cultural co relation agreement CSMRB & PSTL successfully presented Ey Aa O, a cultural exchange event between the two countries in Nanjing. As a part of the exchange, PSTL had brought a huge cultural delegation that had performed twice in Nanjing and their 3rd show was in Beijing on March 19, 2008 at China Child Art Theatre Hall, Beijing. It is a matter of great pride for PSTL not only to enter China but also to organize for a cultural show in the year that the Olympics would take place.

China has a regulated entry on arts / culture / films and hence this entry of Pyramid Saimira group symbolizes the credibility the group enjoys and a dawn of new refigured entertainment industry in mainland china.

Pyramid Saimira to raise $400 million

Pyramid Saimira Theatre Ltd has informed that the members at the Extra Ordinary General Meeting (EGM) of the Company held on March 14, 2008, have unanimously approved the following:

1. Raising additional funds through FCCB / GDR / ADR upto US$ 400 Millions.

2. Increase of Borrowing Powers to the Board from the present Rs 1,500 Crores to Rs 3,000 Crores.

3. Increase of powers to the Board for Mortgage, creation of charge or lien on the assets of the Company upto Rs 2,500 Crores from the present limit of Rs 1,200 Crores.

4. Commencement of Food & Beverages business as contemplated in the "other object" of Memorandum of Association.

5. Additional investment upto a sum not exceeding Rs 300 Crores in group Companies.

Pyramid Saimira to launch DTH across Europe

Pyramid Saimira Theatre Ltd has informed vide its letter dated March 14, 2008 regarding press release with respect to the strategic partnership of Associate Company with UK-based pan European DTH platform, Spize TV.

Subject : Launch of Direct TO Home (DTH) services across Europe, North Africa & Middle East

- Pyramid Saimira Entertainment Ltd, a wholly owned subsidiary of Pyramid Saimira Theatre Ltd has entered into a strategic partnership for content agglomeration / new channels / services launching with Spize TV, A Direct To Home Platform.

- Associate Company of the group has earlier picked up equity stake in Spize TV.

- SpizeTV is a pan-European direct-to-home (DTH) TV platform offering Asian and niche content to viewers in Europe. Spize TV is available on the EuroBird-9 (EB9) satellite, which allows viewers to benefit from the 500+ free-to-air channels on the HotBird satellite by a simple dual-LNB upgrade. Pyramid Saimira acquires Aurona Technologies

Pyramid Saimira Theatre Ltd has announced its strategic acquisition of UK-based Aurona Technologies Ltd, on January 24, 2008. Pyramid Saimira has acquired a majority stake in Aurona Technologies, a leading video games and interactive entertainment software company headquartered in London. Mr. Santosh Pillai, CEO, Aurona Technologies Ltd, will continue in his incumbent role and will also take over as Director. Pyramid Saimira Production Services Ltd, thereby integrating the operations of both the Companies.

Aurona Technologies Ltd has a development centre in Hyderabad and also has a representative office in Los Angeles. Pyramid Saimira opens multiplex at Faridabad

Pyramid Saimira Theatre Ltd has announced that Pyramid Saimira Group, has inaugurated its first multiplex in Faridabad, on January 22, 2008. The 3-screen multiplex is housed in SLF mail at Indraprastha Colony. This will be the first of the many multiplexes that the Company plans to inaugurate in the National Capital Region. With this inauguration, Pyramid Saimira has added 522 seats to its existing capacity of 4,34,955 seats in all. Pyramid Saimira now has a total of 4,35,477 number of seats.

Speaking on this inauguration Mr. Saminathan, Managing Director, Pyramid Saimira Group said, "We are extremely happy to foray into the National Capital Region, which is a pivotal market to us. We plan to invest Rs 50.00 crore in North India towards the construction of multiplexes, improvement of infrastructure and digitization, amongst other developmental activities, in the current fiscal. Pyramid Saimira Theatre Ltd has informed that Pyramid Saimira Group of Companies sponsored the 50th year of Film Federation of India (FFI). FFI is the apex film body of this county with most of the regional trade associations a its members. FFI is the body that is officially recognized by the I & B Ministry and the Government of India. The event was held on January 19, 2008 in Mumbai at Rang Sharda Auditorium. Hon'ble Priya Ranjandas Munshi, Minister of I & B Govt. of India was presiding over the show.

Pyramid Saimira Theatre Ltd has announced that the Company has inaugurated Brahmin's Kitchen, the group's first signature South Indian restaurant at the premises of Priyadarshini Theatre, in Palaghat on January 11, 2008.

Speaking at the launch of this initiative, Mr. P S Saminathan, Managing Director of the Company said, "Pyramid Saimira is focusing now on creating a niche for itself in food & beverages segment. Brahmin's kitchen is first of our initiative to being authentic traditional Brahmin food in modem format. We plan to take this across the world. Palaghat has given birth to large no of traditional Brahmin cuisine and we are glad to stat this journey from here."

Pyramid Saimira to take up a mega Kannada movie - Omm

Pyramid Saimira Theatre Ltd has informed about the development of the Company's operations in Karnataka. M/s. Pyramid Saimira Productions International Ltd., a division of Pyramid Saimira Group is going to take up a mega Kannada movie project, Omm. The movie will be directed by Mr. Ravi Srivatsva and will feature Shiva Raj Kumar, Raghavendra Raj Kumar and Puneet Raj Kumar, the three Sons of thespian, Dr. Raj Kumar.

Pyramid Saimira acquires Dimples Cine Advertising

Pyramid Saimira Theatre Ltd on November 28, 2007, has announced its strategic acquisition of Mumbai-based Dimples Cine Advertising Pvt. Ltd. & Dimples Cine Activations. As per the details of the acquisition, Pyramid Saimira Group has acquired 51% stake in the Company, for an undisclosed sum. The firm will continue to remain headquartered in Mumbai, while becoming a part of the Pyramid Saimira Group universe.

Speaking about the acquisition, Mr. P S Saminathan, Managing Director, of the Company said, "We are extremely happy to announce this strategic acquisition of Dimples Cine Advertising and welcome the employees of Dimples into the Pyramid Saimira family. Further, as the content industry is becoming more atomized and pull oriented, the challenges for an advertiser to be visible on all the media vehicles, assumes greater importance with the proliferation of television channels and other exposure outlets such as internet, cinema advertising etc. Pyramid Saimira with its strong presence in all streams of entertainment business in India, be it featuring film content for television or access to the largest chain of theaters across the country, is in a position to provide almost all advertising requirements of a large advertiser or agency under one umbrella. In short, Pyramid Saimira will become a one stop entertainment super market."

As per the details of the acquisition, Pyramid Saimira will roll out a massive business plan for Dimples Cine Advertising Pvt. Ltd. & Dimples Cine Activations, through which Dimples will have access to 4000 digitally targetable screens by 2010. "Through this acquisition, we aim to be a major media & advertisement vehicle in India," said Mr. Saminathan.

Pyramid Saimira postal ballot

1. Increased in the Authorised Share Capital of the Company from Rs 33,00,00,000/- (Rupees Thirty Three Crores Only) divided into 3,30,00,000 Equity Shares of Rs 10/- each to Rs 50,00,00,000/- (Rupees Fifty Crores Only) divided into 5,00,00,000 Equity Shares of Rs 10/- each & consequential amendments in the Memorandum & Articles of Association of the Company.

2. Alteration in the existing Article 32(a) of the Articles of Association of the Company by substituting the following Articles:

"32.(a) The Board of Directors may, from time to time, decide to pay to Director out of the funds of the Company, by way of Sitting Fees, an amount not exceeding the maximum amount as may be prescribed by the Central Government under Rule 108 of the Companies (Central Government's) General Rules and Forms, 1956 read with Section 310 of the Companies Act, 1956 or any amendment mode thereunder, from time to time, for each such meeting of the Board or any Committee or Sub-committee thereof attended by him"

3. The following article shall be inserted in the Articles of Association of the Company as Article No. 44-f.

"44-f: The Company shall have the power to hold Board or Committee meetings through the means of video or tele-conferencing and also allow Directors to participate in the Board or Committee meetings through the means of video tele-conferencing, subject to the applicable provision, if any, of the Companies Act, 1956 and other regulatory provisions, if any, and all relevant articles with Board or Committee meetings shall be read mutatis mutandis."

4. Authority to Board to make any loan to the following bodies corporate, give any guarantee or provide security in connection with a loan made by any other person to the following bodies corporate, invest in the securities of the following bodies corporate up to overall limit of Rs 2,500 Crores (Rupees Two Thousand Five Hundred Crores only) not withstanding the fact that such amount is in excess of 60% of the paid up share capital and free reserves or 100% of the free reserves whichever is more:

The Board of Directors of the Company at its meeting held on November 10, 2007 has appointed Mrs. Kalyani Srinivasan, Practicing Company Secretary in as the Scrutinizer for conducting the Postal Ballot voting process in a fair and transparent manner.

The Postal Ballot form duly completed should reach the scrutinizer on or before December 22, 2007. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced by the Chairman on December 24, 2007.

Pyramid Saimira AGM outcome

Pyramid Saimira Theatre Ltd has informed that the Board of Directors of the Company at its meeting held on November 10, 2007, has considered and unanimously approved the following:

1. Increasing the Authorised Capital to Rs 50 Crores from the present Authorised Capital of Rs 33 Crores and also to make necessary amendments in the Memorandum and Articles of Association of the Company.

2. Amendment to Clause 32(a) of the Articles of Association pertaining to the Sitting Fees payable to Non-executive Directors not exceeding the maximum amount as may be prescribed by the Central Government under Rule 10B of the Companies (Central Government's) General Rules and Forms, 1956, of the Companies Act, 1956.

3. Insertion of Clause 44-f for enabling the Company to hold Board or Committee Meetings by means of video or tele-conferencing. This amendment to Articles of Association of the Company shall come into force upon notification of necessary amendments to the Companies Act, 1956 and / or necessary clarifications from the Government of India.

4. Investment in other Bodies Corporate or giving guarantee on behalf of other Bodies Corporate for a sum not exceeding Rs 2,500 Crores.

Further the Company has informed that the Board directed the Company Secretary to conduct the Postal Ballot in order to get the approval on the above proposals.

The Board also took on record the following:

(a) Business plan of M/s. Pyramid Saimira Productions Ltd, the subsidiary of the Company, in the context of their proposal to make an Initial Public Offering shortly.

(b) Various draft financial closure details of M/s. Pyramid Saimira Entertainment Ltd, Singapore, the subsidiary of the Company.

The Board also approved the acquisition of a Company engaged in Media Space.

Pyramid Saimira acquires FunAsia

Pyramid Saimira Theatre Ltd has announced that the Company expanded its global footprint with the acquisition of Texas based FunAsiA today through its subsidiary Pyramid Saimira Entertainment America, Inc.. and will be based out of Richardson, Texas. The Company plans to set up 60 screens US & Canada by the end of this fiscal. The Company also acquired an existing theatre and radio drive-time hours in Chicago and radio time in Houston. This acquisition takes the total number screens under the Company's banner to 703 globally.

This foray in to the US markets enables Pyramid Saimira Group to have exhibition presence across the globe especially where Indian / Asian population has significant presence. It already has operations through local subsidiaries in Malaysia and Singapore.

According to Mr. P S Saminathan, Managing Director of the Company - "Geography is history as they say. We are glad to be causing this paradigm shift. According to the U.S. Census Bureau (based on 2000 findings), South Asians in the United States Exceed 2.1 million,

FunAsia complexes include a total of 17 screens with 4,765 seats, The Chicago complex that has been added by, Pyramid Saimira Entertainment America, Inc., will have 6 screens with a seating capacity of 1,763. in Texas. FunAsia operates Bollywood theaters in Irving and Richardson, and two multiplexes in Houston. The FunAsia concept is uniquely suited to South Asians in North America, who comprise persons of Indian, Pakistani, Nepali, Bangladeshi and Sri Lankan descent. The concept of the Company in USA is not just film screen entertainment but a wholesome environment including food courts, Banquet halls, and additional modes at mass media, such as a radio channel and a Community Magazine. Pyramid Saimira’s also plans to set up Video Booths at FunAsia complexes in Chicago, Texas and elsewhere as the expansion proceeds. This video matchmaking service enables couples located thousands of miles apart to see and speak with each other.

Dr. Farrukh, John and Shariq Hamid founders of FunAsia will be associated with Pyramid Saimira Entertainment America, Inc as its Executive Advisors, assisting the Company to take the multimedia entertainment concept across United States and Canada.

Pyramid Saimira Theatre Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on September 24, 2007, to consider certain proposals in connection with acquisition of Theatre Chains abroad.
