RPG Transmission, NIT, MP Power and KEC International scheme of arrangement

RPG Transmission Ltd has informed that the Court Convened meeting of the Equity Shareholders of the Company held on November 02, 2007, have approved the Scheme of Arrangement between the Company and National Information Technologies Ltd and MP Power Line Ltd and KEC International Ltd and their Respective Shareholders, with any amendment.

RPG Transmission Ltd has informed that pursuant to the Order made by the Hon'ble High Court of Judicature at Madhya Pradesh, Jabalpur Bench, a meeting of Equity Shareholders of the Company will be held on November 02, 2007, for the purpose of considering and if thought fit, to approve, with or without modification(s), the arrangement embodied in the Scheme of Arrangement (the "Scheme") between National Information Technologies Ltd ("NITEL" or "the First Transferor Company"), the Company ("RPGT" or "the Second Transferor Company" or the "Applicant Company"), MP Power Line Ltd ("MPL") & KEC International Ltd ("KEC") & their respective shareholders.
