Avaya Sierra Holdings Merger

Avaya Global Connect Ltd (AGCL) has informed that Avaya Inc. owns 100% in Avaya Mauritius (a Company incorporated under the laws of Mauritius) which, in turn, holds 33.63% of the paid-up share capital of AGCL. Avaya International LLC, USA (associate Company of Avaya Inc.) also holds 25.50% of the paid-up share capital of AGCL.

Avaya Inc. entered into an Agreement and a plan of merger dated June 04, 2007 with Sierra Holdings Corp. and Sierra Merger Corp (the "Agreement"). As per the terms of the Agreement, the parties agreed that Sierra Merger Corp. will merge with Avaya Inc., consequent to which Sierra Merger Corp. would cease to exist and Avaya Inc. would continue as the surviving corporation. Pursuant to the Agreement, this merger was completed on October 26, 2007.
